What are the filing fees?
Depending on the type of entity your are filing for, our processing and governmental fee totals are as follows:
- Domestic and Foreign Non Profit Corporations: $61.25 State Fees + $123.75 File Business Easy. Fees
- Domestic and Foreign Profit Corporations: $150 State Fees + $125 File Business Easy. Fees
- Domestic and Foreign LLCs: $138.75 State Fees + $136.25 File Business Easy. Fees
- Domestic and Foreign LTD Partnerships: $500 State Fees + $200 File Business Easy. Fees
After May 1st there is an additional state fee of $400 and a File Business Easy. fee of $20 imposed for all annual companies excluding non profits.
Included in our company service fee is one free online amendment to your annual report, as well as one free dissolution filing. These additional filings are valid only during the same calendar year as the annual report filing. To redeem any of these filings, please email [email protected] for further assistance.
How do I redeem my amendment and/or dissolution filing that comes with my annual report purchase?
What does “administratively dissolved/revoked,” “involuntarily dissolved,” or “revoked for annual report” mean?
- File Business Easy entities are required to file an annual report each year to maintain an active status.
- Under current law, business entities that do not file an annual report are administratively dissolved or administratively revoked.
- Administratively dissolved, involuntarily dissolved, or revoked business entities may file a reinstatement application to reactivate their business status.
How do I confirm the filing of my Annual Report?
- You may confirm that your Annual Reports have been filed by visiting Sun Biz and looking up your Company name or document number. From there, you will see all your recently filed annual reports. To search the SunBiz Site, click here.

Dissolutions
Why should you file your articles of dissolution?
- A corporation administratively dissolved continues its corporate existence but may not carry on any business except that necessary to wind up and liquidate its business and affairs and notify claimants.
- A director, officer, or agent of a corporation (or manager or member of an LLC) dissolved pursuant to this section, purporting to act on behalf of the corporation, is personally liable for the debts, obligations, and liabilities of the corporation (or LLC) arising from such action and incurred subsequent to the corporation’s (or LLC’s) administrative dissolution only if he or she has actual notice of the administrative dissolution at the time such action is taken; but such liability shall be terminated upon the ratification of such action by the corporation’s (or LLC’s) board of directors or shareholders (members) subsequent to the reinstatement of the corporation (LLC).
